Terms & Conditions
These Terms & Conditions apply to your use of the Zorvix Media website and to enquiries made about our services. A separate written proposal, service agreement or statement of work may set additional terms for a specific project. If it conflicts with these website terms, the signed or otherwise accepted project document will govern that project.
Website use
You may use this website for lawful purposes and to learn about Zorvix Media and its services. Website information is general information, not a binding offer or professional advice. We may update, suspend or remove website content at any time.
Services, enquiries and consultations
Zorvix Media is a digital agency based in Patna, Bihar. Services may include website design and development, branding, search engine optimization (SEO), digital marketing, social media, advertising and related strategy or production work. The services available for a project will be confirmed in writing.
Submitting an enquiry or taking part in an initial consultation does not create a client relationship or require either party to proceed. We may request further information before assessing a project.
Proposals, quotations and project scope
Proposals and quotations are based on the requirements and assumptions stated in them and are valid for the period specified there. Work begins only after the proposal is accepted and any stated onboarding requirements are met.
The accepted proposal or project document will describe the deliverables, schedule, fees, dependencies and included revision rounds. Requests outside that scope, additional revisions or changes to approved work may require a revised timeline and additional fees, which will be agreed before the additional work begins.
Client responsibilities
You agree to provide accurate information, timely decisions, access, approvals and other materials reasonably needed for the work. You are responsible for reviewing deliverables and confirming that information published on your behalf is accurate and approved. Delays in receiving required materials or approvals may affect delivery dates.
You must have the rights and permissions needed for materials, claims, personal information and instructions you provide, and must ensure that your use of deliverables complies with applicable law.
Payments and billing
Fees, payment milestones, invoicing terms and any applicable taxes will be set out in the accepted proposal or project document. Unless that document says otherwise, invoices are payable by the due date shown on the invoice. Third-party costs, including advertising spend, hosting, domains, licences and platform fees, are separate unless expressly included.
Where an undisputed invoice remains unpaid, we may give notice and pause affected work until payment is received. Any effect on delivery dates will be discussed with you. Payments and committed third-party costs are handled according to the agreed project terms and applicable law.
Intellectual property
You retain ownership of materials you provide. Subject to full payment of the applicable fees, rights in final, project-specific deliverables will be handled as stated in the accepted proposal or project document. If it is silent, we grant you a non-exclusive licence to use those deliverables for your business purposes.
Zorvix Media retains its pre-existing tools, methods, know-how, templates and materials, as well as third-party materials subject to their own licences. We will not transfer rights that belong to a third party. Any portfolio use or public identification of your project will be subject to your prior approval.
Client-supplied content and assets
You are responsible for the accuracy, legality and permissions for text, images, video, trademarks, data and other assets you supply. You authorise us to use those materials only as needed to perform the agreed services. We may decline to use material that we reasonably believe is unlawful or infringes another party's rights.
Digital marketing, advertising and performance
Marketing outcomes depend on factors beyond our control, including competition, budgets, audience behaviour, client inputs and changes made by third-party platforms. We do not guarantee a particular number of leads, sales, impressions, conversions, rankings or return on investment.
Advertising accounts, media budgets and platform charges are subject to the relevant provider's terms and billing rules. Platform decisions, account restrictions, outages, policy changes and campaign approvals are outside our control. Any management work or campaign commitments will be described in the applicable project document.
SEO and performance expectations
Search rankings, indexing, traffic and website performance can change and are influenced by search engines, hosting, competition, the website itself and other external factors. SEO work is performed using professional methods, but no specific ranking, timing or traffic result is promised.
Third-party platforms and services
Our work may involve third-party tools, platforms, hosting providers, payment services or social networks. Their products and services are governed by their own terms and privacy notices. We are not responsible for their availability, decisions, security practices or changes, though we will work with you on agreed reasonable steps when an issue affects a project.
Confidentiality
Each party will take reasonable care to protect non-public information received from the other party and use it only for the relevant business or project purpose. This does not apply to information that is public without breach, independently developed, already lawfully known, or required to be disclosed by law. A separate confidentiality agreement, if signed, will also apply.
Website availability
We aim to keep this website available and its information current, but do not guarantee uninterrupted or error-free access. We may maintain, change or temporarily restrict the website. This does not affect any availability commitments expressly agreed for a client project.
Prohibited use
You must not misuse the website, interfere with its operation, attempt unauthorised access, introduce malicious code, scrape or collect information unlawfully, or use the website in a way that infringes rights or violates applicable law.
Termination
Project termination, notice periods, payment for completed work and any handover obligations will be governed by the accepted proposal or project document. Either party may raise a material failure to meet agreed obligations and allow a reasonable opportunity to address it, where appropriate. Termination does not remove payment obligations already accrued or rights that by their nature continue.
Limitation of liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential loss arising from these website terms. For paid services, any limits or exclusions of liability will be set out in the applicable project document. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory legal requirements, courts of competent jurisdiction in Patna, Bihar will have jurisdiction over disputes relating to these Terms.
Changes to these Terms
We may revise these Terms by publishing an updated version on this page. Changes apply from publication and do not alter an existing project agreement unless the parties agree otherwise.
